Supplier Code of Conduct.

Standards for suppliers, vendors, contractors, advisors, and third parties working with eSora Labs.

Overview

eSora Labs expects suppliers, vendors, contractors, advisors, consultants, agencies, subcontractors, and technology providers to act with integrity, protect confidential information, follow applicable laws, and support responsible business practices.

Scope

This Code applies to third parties providing goods, services, software, data, infrastructure, consulting, design, development, research, recruiting, marketing, legal, accounting, or operational support to eSora Labs, Barnabus Inc., eSora Studio, or related affiliates.

Legal Compliance

Suppliers must comply with all applicable laws, regulations, contractual obligations, industry standards, and professional requirements.

Business Integrity

Suppliers must act honestly and ethically. False records, misleading statements, fraud, improper influence, or unethical conduct are not acceptable.

Anti-Bribery and Corruption

Suppliers must not offer, promise, give, request, or accept bribes, kickbacks, improper gifts, or anything of value intended to improperly influence a business, government, healthcare, procurement, or institutional decision.

Conflicts of Interest

Suppliers must disclose actual or potential conflicts of interest that could affect independence, judgment, or fairness.

Confidentiality

Suppliers must protect eSora Labs confidential information, trade secrets, product plans, technical materials, design files, source code, data, and intellectual property. Use only for authorized purposes under written agreement.

Data Protection and Security

Suppliers must use appropriate safeguards to protect personal information, customer data, enterprise data, source code, credentials, and regulated data. Security incidents must be reported promptly.

AI and Technology Use

Suppliers may not use eSora Labs confidential information, customer data, PHI, source code, or proprietary materials to train AI/ML systems without express written authorization. Do not upload eSora materials into public AI tools unless approved in writing.

Labor and Human Rights

Suppliers must support fair labor practices, non-discrimination, freedom from harassment, safe working conditions, and respect for human rights. Forced labor, child labor, and unlawful discrimination are prohibited.

Health, Safety, and Environment

Suppliers must provide safe working conditions and comply with applicable health, safety, and environmental laws.

Subcontractors

Suppliers may not subcontract work involving eSora Labs confidential information or regulated data without prior written approval.

Reporting Concerns

Report suspected violations, security incidents, data misuse, or ethical concerns to compliance@esoralabs.com.

Violations

Violations may result in corrective action, suspension, termination, notification to affected parties, or legal action.
